3. Eligibility

You must be at least 18 years of age to use our Website or Services. By using our Website or Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Intellectual Property

Our Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, images, designs, code, and software, is the property of Edigihub or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this Website without our express written permission.

Client Work

Upon full payment for Services rendered, Edigihub grants the client a non-exclusive, worldwide license to use the final deliverables (e.g., website designs, brand assets, software) for their intended business purpose. Unless otherwise agreed in writing:

  • Edigihub retains the right to display completed work in our portfolio and marketing materials.
  • Client-specific source code, design files, and raw assets will be transferred to the client upon project completion and final payment.
  • Edigihub retains ownership of any pre-existing intellectual property, frameworks, tools, or code libraries used during the project.

Client Responsibilities

Clients are responsible for ensuring that any content, images, trademarks, or materials provided to Edigihub for use in projects do not infringe upon the intellectual property rights of third parties. Edigihub shall not be held liable for any intellectual property claims arising from client-provided materials.

5. Payment Terms

  • Quotes & Proposals: All project quotes and proposals are valid for 30 days from the date of issue unless otherwise stated.
  • Deposits: A deposit of 50% of the total project fee is required before work begins. The remaining balance is due upon project completion and delivery.
  • Payment Methods: Payments can be made via bank transfer, mobile money, or other methods as agreed upon.
  • Late Payments: Invoices not paid within 14 days of the due date may incur a late fee of 2% per month on the outstanding balance.
  • Recurring Services: For ongoing services (e.g., monthly marketing retainers), payment is due on the 1st of each month. Services may be suspended if payment is not received within 7 days of the due date.

6. Project Workflow & Timelines

  • Project timelines begin upon receipt of the initial deposit and all required client materials.
  • Delays in client feedback, approvals, or content delivery may result in adjusted timelines.
  • We will communicate any timeline changes promptly and work to minimize impact on project delivery.
  • Estimated completion dates are projections and not guaranteed unless agreed in a binding contract.

7. Revisions & Changes

Our standard projects include up to two (2) rounds of revisions at no additional cost. Additional revision rounds will be billed at our standard hourly rate. Revisions beyond the original project scope may require a change order with updated pricing and timeline.

8. Cancellation & Refund Policy

  • Before Work Begins: If you cancel a project before any work has commenced, you are entitled to a full refund of your deposit.
  • After Work Begins: If you cancel after work has begun, the deposit is non-refundable. You will be invoiced for any work completed beyond the deposit amount.
  • Completed Work: No refunds will be issued for work that has been completed and delivered.
  • Ongoing Services: You may cancel ongoing services with 30 days' written notice. Cancellation takes effect at the end of the current billing period.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business strategies, trade secrets, customer data, and project details. This obligation survives the termination of these Terms for a period of two (2) years.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Edigihub shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Website or Services.
  • Our total liability for any claim arising from or related to our Services shall not exceed the total amount paid by you for the specific Services giving rise to the claim.
  • We are not responsible for losses resulting from circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, or government actions.

11. Warranty & Disclaimer

Edigihub warrants that our Services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly stated above, our Website and Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our Website will be uninterrupted, error-free, or completely secure.

12. Third-Party Services

Our Services may involve the use of third-party platforms and tools (e.g., Google Ads, Meta Ads, hosting providers, payment gateways). Your use of these third-party services is subject to their respective terms and policies. Edigihub is not responsible for the availability, accuracy, or policies of third-party services.

13. Indemnification

You agree to indemnify and hold harmless Edigihub, its team members, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any content you provide to us for use in projects

14. Termination

We reserve the right to suspend or terminate your access to our Website or Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to us, our clients, or third parties.

Upon termination, all outstanding payments become immediately due and payable. Sections of these Terms that by their nature should survive termination will survive, including intellectual property, confidentiality, limitation of liability, and indemnification.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in Accra, Ghana, in accordance with the rules of the Alternative Dispute Resolution Centre of the Ghana Arbitration Centre.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with any written agreements or proposals for specific Services, constitute the entire agreement between you and Edigihub regarding the use of our Website and Services, superseding any prior agreements or understandings.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page with an updated "Last Updated" date. Your continued use of our Website or Services after any changes constitutes acceptance of the new Terms.
